NH Trades: Don’t Miss the Annual Report Deadline This April

In New Hampshire, the deadline to file your annual report with the state is April 1 each year. These reports can be submitted as early as January 1, but they must be filed by April 1 to avoid a $50 late fee and maintain your business’s good standing with the state. If you miss this deadline, your business could eventually face administrative dissolution after two consecutive years of non-filing.

Who needs to file?
Domestic and Foreign LLCs: All limited liability companies registered to do business in New Hampshire, whether formed in the state (domestic) or registered from another state (foreign), must file an annual report. The first report is due the year after formation or registration, unless the LLC was formed or registered between December 1 of the prior year and April 1 of the current year—in that case, no report is due that first year.
Corporations: Both domestic corporations (incorporated in New Hampshire) and foreign corporations (authorized to transact business in the state) are required to file annually. Similar to LLCs, the first report is due the following year after incorporation or authorization, with the same December 1–April 1 exception.
Nonprofits: Nonprofit organizations in New Hampshire have a different schedule—they file a report every five years, due by December 31 of years ending in 0 or 5 (e.g., 2025, 2030). However, they also have separate annual filing requirements with the New Hampshire Attorney General’s Charitable Trusts Unit, due 4 months and 15 days after their fiscal year-end (often April 15 for calendar-year nonprofits).
Other Entities: Limited liability partnerships (LLPs) must also file annual reports by April 1 each year. Partnerships without limited liability status, however, are not required to file with the Secretary of State.
Filing is typically done online via the NH QuickStart portal, or you can request a paper form to mail in (though processing takes longer—up to 3 weeks versus instant online approval). The fee is $100 for LLCs and corporations, $25 for nonprofits with the Secretary of State, plus an additional $75 for the Attorney General filing for nonprofits. Keeping up with this requirement ensures your business remains compliant and operational in New Hampshire.
